1. Acceptance of Terms

By accessing or using ThermoComposer (the "Service"), operated by Aprivis GmbH, [Strasse], [PLZ] [Ort], Switzerland ("Aprivis", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Service. By using the Service after any revision to these Terms, you agree to be bound by the updated version.

2. Description of Service

ThermoComposer is a cloud-based SaaS platform for thermal drone inspection analysis and reporting. It allows users to upload DJI radiometric JPEG (R-JPEG) files, analyse thermal images, annotate findings, and generate professional inspection reports in Word (.docx) format.

The Service is in active development. Features, pricing, and availability may change. We will notify registered users of material changes in advance where reasonably practicable.

3. Accounts and Registration

  • You must provide accurate, complete, and current information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at hello@thermocomposer.com if you suspect unauthorised access to your account.
  • You may not share your account with third parties or allow multiple individuals to access the Service through a single account unless your subscription plan explicitly permits it.
  • We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 months after giving reasonable notice.

4. Subscriptions and Payments

Access to the Service is provided on a subscription basis. Specific plans, pricing, and billing cycles are published on the Website and may be updated from time to time.

  • Billing: Subscriptions are billed in advance on a monthly or annual basis. All prices are quoted in Swiss Francs (CHF) and are exclusive of applicable taxes unless otherwise stated.
  • Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused time within a paid period unless required by applicable law.
  • Free trial: Where a free trial is offered, it will automatically convert to a paid subscription at the end of the trial unless you cancel beforehand.
  • Late payment: We reserve the right to suspend access to the Service if payment is overdue by more than 14 days after providing written notice.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations, including Swiss data protection law (nDSG).
  • Upload or process files that infringe third-party intellectual property rights.
  • Upload content that is illegal, harmful, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorised access to our systems or other users' data.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers, crawlers) against the Service without prior written consent.
  • Resell or sublicense access to the Service without prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate and take appropriate action, including suspension or termination of accounts, for any violation of this section.

6. Your Data and Content

You retain full ownership of all thermal images, inspection data, reports, and other content you upload or create using the Service ("User Content"). By uploading User Content, you grant Aprivis GmbH a limited, non-exclusive, worldwide licence to process, store, and display your User Content solely to provide and improve the Service.

You represent and warrant that you have all necessary rights to upload and use your User Content and that doing so does not infringe any third-party rights.

We will handle your personal data in accordance with our Privacy Policy. You remain the data controller for any personal data contained in your User Content; Aprivis GmbH acts as a data processor on your behalf.

7. Intellectual Property

All rights in the ThermoComposer platform — including software, design, trademarks, logos, and documentation — are owned by Aprivis GmbH or its licensors. These Terms do not transfer any ownership rights to you. You receive only a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during the term of your subscription.

Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation.

8. Availability and Modifications

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. In case of permanent discontinuation, we will give at least 30 days' notice and provide a data export mechanism.

Planned maintenance windows that significantly affect availability will be communicated in advance where possible.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements or that it will be free from errors or interruptions.

Thermal analysis results generated by the Service are intended to support, not replace, the professional judgement of qualified inspectors. You are solely responsible for verifying the accuracy of any output before using it in a professional context.

10. Limitation of Liability

To the maximum extent permitted by Swiss law, Aprivis GmbH shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with the use or inability to use the Service.

Our total aggregate liability for any claims arising under or relating to these Terms shall not exceed the amount you paid to us for the Service in the 12 months preceding the event giving rise to the claim. This limitation does not apply in cases of wilful misconduct or gross negligence.

11. Indemnification

You agree to indemnify and hold harmless Aprivis GmbH and its officers, employees, and agents from any claims, damages, losses, or costs (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your User Content; or (c) your violation of any applicable law or third-party rights.

12. Termination

Either party may terminate the contractual relationship at any time upon reasonable notice. We reserve the right to terminate or suspend your access immediately and without notice if you materially breach these Terms.

Upon termination, your right to access the Service ceases immediately. You may export your User Content within 30 days of termination using the data export feature in your account. After 30 days, we may permanently delete your User Content.

Clauses 6, 7, 10, 11, 13, and 14 survive termination of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, in particular the Swiss Code of Obligations (OR), without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of [Kanton], Switzerland, unless mandatory consumer protection rules require otherwise.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by e-mail or by posting a prominent notice in the Service at least 30 days before the change takes effect. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
